In order to proceed, You must agree with the following terms of service: Terms of Service Agreement Kangen Website Services, a division of Pinpoint Productions, Dallas TX, ("Kangen Website Services") provides diversified website services (the "Services") to independent distributors ("You") exclusively to promote the products and services associated with Enagic™. You agree that by using any of the Services provided by Kangen Website Services, You have agreed to the Terms of Service Agreement (the "Agreement") and all of the terms and conditions found in the Agreement. Relationship of Parties: This agreement in no way creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between You and Kangen Website Services. Both You and Kangen Website Services are Independent Contractors. Limited License: Kangen Website Services grants to You a personal, non-sub-licensable, non-exclusive license to participate in the Service. As part of the Service, You will have access to information, communications, software, photos, text, video, graphics, music, sounds, images and other material and services posted onto the website by Kangen Website Services (the "Content"). All other use of the Content, including but not limited to, modification, publication, transmission, participation in the transfer or sale of, reproduction, creation of derivative works from, distribution, performance, display, incorporation into another website, mirroring the Service, or in any other way exploiting any of the Content, in whole or in part, is prohibited without first obtaining Kangen Website Services written consent. Use of Content: All Services provided by Kangen Website Services must be used for lawful purposes only. Transmission or storage of any Content, information, data or material in violation of any Federal, Texas or local law is strictly prohibited. Registration for Service To become a Subscriber in order to use the Service, You must register by providing Kangen Website Services with current, complete and accurate information as prompted by the Signup Form. You agree not to provide false or misleading information anywhere in the administrative software or on your website, e.g. false email addresses, false identity, false credit card information, etc. Password You are entirely responsible for maintaining the confidentiality of your password and account and for any and all activities that occur in your account, including use of the account by a third party authorized by You to use your account or unauthorized users who obtain access through your negligence. Unauthorized use of your account You agree to notify Kangen Website Services immediately of any unauthorized use of your account or any other breach of security. You agree that Kangen Website Services is the neutral host of the Service and has no responsibility or liability for your business activities in using the Service. Any fraudulent, abusive or otherwise illegal activity will be grounds for immediate termination by Kangen Website Services, and referral to the appropriate law enforcement agency(ies). Subscriber Privacy: It is Kangen Website Services policy to respect the privacy of its subscribers. Kangen Website Services will not monitor, edit, or disclose any personal information about You or your account, including its contents, without your prior permission, unless Kangen Website Services has a good faith belief that such action is necessary for legal, Service rights, termination or cancellation of Service or any other action(s) necessary to protect the Service. Kangen Website Services reserves the right to access your account for service or technical issues. Subscriber Conduct: Kangen Website Services may terminate Service if a Subscriber's conduct is found to be inconsistent with the Terms of this Agreement. Spam: Spam is expressly forbidden and includes using any reference to your Kangen Website Services website in an unsolicited email as well as all other accepted definitions of Spam. Payments: If You order the Kangen Website Services website system, You authorize Kangen Website Services to utilize its merchant account provider to charge your credit card account provided during the purchase/enrollment process. You authorize Kangen Website Services to charge your credit card account a monthly or annual subscription fee depending on the package You choose, and to charge your credit card account if You purchase any additional fee-based Service(s) from Kangen Website Services. All charges to your credit card will appear as Pinpoint Productions. Kangen Website Services is a division of Pinpoint Productions, Dallas TX. By accepting this Agreement You agree to pay all fees associated with your chosen Kangen Website Service(s). All fees are payable in full when you select the Services and are non-refundable. Current Account Information: It is Your responsibility to keep Your payment information accurate and current with Kangen Website Services. If a monthly payment cannot be processed, You will be notified and given a minimum of 5 business days notice to correct the situation and make the payment. Failure to correct the situation within 5 business days will lead to immediate deactivation of your account until You make satisfactory payment arrangements. If payment arrangements are not made within 30 days, your account will be deleted along with all contacts and leads in your database. Refunds: Due to the digital nature of our content and service, Kangen Website Services does not issue refunds. Chargebacks: All payment credits go to Pinpoint Productions. You agree that You will not issue a chargeback against the Service we provide You. In the event that a chargeback is wrongfully issued, You agree to pay a processing fee to cover the amount of the chargeback and any related fees before your account will be reactivated. Cancellation: You may cancel service at any time by submitting a request in "Cancellations" from the Support Center found in the member's area. Upon request for cancellation, your account will remain active for 30 days. You are responsible for all actions and charges incurred up to the time that the account is deactivated. Your user ID number and password must be included in the cancellation request. Cancellation will take effect only when Kangen Website Services confirms the receipt of the cancellation request via email. Once your cancellation request has been received and confirmed by Kangen Website Services, your account (and all future charges) will be cancelled within one business day after the 30 day cancellation notice period has expired. Cancellation rights and responsibilities: You agree that Kangen Website Services has the right to delete all data, files, leads or other information that is stored in your account if either Kangen Website Services or You terminate the subscription with the Service for any reason. It is your responsibility to export this information before your subscription terminates, and it will be assumed that this has been done. Once your account has been deleted by Kangen Website Services your data WILL NO LONGER be available to You as it will have been DELETED from our system. Non Affiliation with Enagic™: Cancellation of Your Enagic™ account will NOT automatically cancel your agreement with Kangen Website Services and cancellation of your Kangen Website Services account will NOT affect your Enagic™ account in any way. Both must be handled separately as Kangen Website Services is not affiliated with Enagic™ and does not interface with their business. Limitation of Liability: Kangen Website Services makes no representations whatsoever regarding any other website You may access through the Service, and accepts no responsibility or liability from any other website which You may access through the Service. Indemnification: You agree to indemnify, defend, and hold Kangen Website Services, Pinpoint Productions, and its affiliates, officers, directors, employees and agents from any and all liability, claims, losses, damages, injuries or expenses (including attorneys' fees) directly or indirectly arising from or relating to your use of the Service and any dispute relating thereto. Modification of Service: Kangen Website Services may change, suspend or discontinue any aspect of the Service at any time, including the availability of any Service feature, database or Content. Kangen Website Services may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. Kangen Website Services is not responsible for guaranteeing the delivery of emails sent through the system. As with any computer system, all parties are aware of and anticipate periods when the Services will not be available and such loss of services will not result any liability for Kangen Website Services. Modification of Terms: Kangen Website Services reserves the right, at its discretion, to change, modify, add or remove portions of this Agreement at any time. Notification of the changes in the Service or this Agreement will be posted on the Web, or sent via email, or postal mail. Your continued participation in the program following our posting of a change notice or a new Agreement on our site will constitute binding acceptance of the change and/or the new Agreement. Termination: Kangen Website Services may, in its sole discretion, terminate or suspend your access to all or part of the Service for any reason, including without limitation, breach of this Agreement, or assignment of this Agreement by You. Upon termination, You shall no longer be entitled to use the Service and the licenses granted hereunder shall terminate. You shall immediately return or destroy all Proprietary Information, but the terms of this Agreement regardingDisclaimer of Warranties, Limitation of Liabilities, and Indemnification will remain in full force and effect. Disclaimer of Warranties: Kangen Website Services does NOT warrant that the Kangen Website Services websites and related websites and/or services will be error free or uninterrupted, and Kangen Website Services will not be liable for the consequences of any interruptions or errors. The Kangen Website Services website and Service is distributed on an "as is" basis without warranties of any kind, either express or implied. Kangen Website Services will not be responsible for ANY losses, damages or costs that You and/or your business may suffer when using the Kangen Website Services websites and related websites and/or services. You expressly agree to indemnify and hold harmless Kangen Website Services from ANY claims resulting from your use of the Kangen Website Services websites and related websites and/or services. You expressly agree that use of the Kangen Website Services websites and related websites and/or services is at your sole risk and You understand such risks are an inherent part of business. You expressly agree that neither Kangen Website Services nor its service providers, affiliates, licensors, employees and/or contractors shall have ANY liability for ANY damages suffered by You, your business or ANY other third party as a result of the use or misuse of the websites and related websites and/or services, even if such loss or damage is foreseeable. Force Majeure: Except for the payment of monies due for the Services, neither party shall be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, shortages, riots, insurrection, acts or terrorism, fires, flood, storm, explosions, acts of God, war, governmental action labor conditions, earthquakes or any other cause which is beyond the reasonable control of such party. Miscellaneous: This Agreement will be governed by the laws of the State of Texas without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. Kangen Website Services Copyrights: No part of the website or related websites may be reproduced or transmitted in any form or by any means without the prior written permission of Kangen Website Services. Kangen Website Services WILL PURSUE any illegal use of copyrighted materials. No persons have the right to resell Content and Services in any shape or form whatsoever.
